This is the standard 365Proof Service Agreement. Submitting the form above triggers a personalized version of this document — your dealership name, plan, monthly fee, and start date pre-filled — sent to your signer's email for electronic signature.

Scope of services

365Proof will perform monthly independent audits of the digital vendor work your dealership is paying for, scoped to the audit pillars included in the plan you selected. We will not build websites, manage ad campaigns, write SEO content, or take referral commissions from any vendor we audit. We deliver a written report and a monthly review call.

Fees and term

The monthly fee equals the plan's stated rate multiplied by the number of rooftops, less any multi-rooftop discount per our published pricing. Term is month-to-month. Either party may end the agreement effective at the end of the then-current month by emailing notice to the other party at least 5 days before the next billing date. There are no setup fees, no minimum term, and no early-termination fees.

Access we'll request

Read-only access only — never write access, ever. Required access per plan: Inspector needs read-only GA4 Viewer access. Auditor adds read-only Google Ads, Meta Business Manager, call tracking, and a monthly CRM lead-source export. Sentinel adds your OEM Tier 3 guideline documents and read access to active lead-provider portals. Access can be revoked by your dealership at any time and the agreement remains in force unless either party gives notice as described above.

Confidentiality

All data, vendor relationships, financial figures, and reports exchanged under this agreement are confidential. 365Proof will not share dealership-specific findings with any third party (including other dealers, vendors, or OEMs) without written authorization, except as required by law. This obligation survives termination of the agreement.

What this agreement does not do

This agreement does not grant 365Proof authority to act on the dealership's behalf with any vendor, OEM, or platform. We provide findings and recommendations only. The dealership remains the decision-maker on every action.
